M&A Transactions

Swish Data Corp. has acquired Titania Solutions Group, Inc., a provider of DevSecOps services, intelligence training and operations, and drone and counter-drone activities within the public sector market.  Terms of the transaction were not disclosed.  KippsDeSanto & Co. served as the financial advisor to Titania Solutions Group, Inc.

ASGN Incorporated has acquired Integrated Solutions Management, Inc., a provider of industry-leading expertise in internet of things technology, IT services, and operations management services.  Terms of the transaction were not disclosed.

CAE, Inc. has agreed to acquire TRU Simulation + Training Canada, Inc., a subsidiary of Textron, Inc., and a provider of industry-leading training devices, programs, and support for the aerospace and defense industries.  The transaction is valued at $40 million.

FLIR Systems, Inc. has acquired Altavian, Inc., a provider of small unmanned aerial systems for customers in the defense and public safety sectors.  Terms of the transaction were not disclosed.

Jacobs Engineering Group, Inc. has acquired The Buffalo Group, a provider of advanced analytics, advanced targeting, cybersecurity, cloud mitigation, DevSecOps, identity intelligence and biometrics, human intelligence, open-source and social media analysis, geospatial intelligence, cyber threat intelligence, and artificial intelligence / machine learning.  Terms of the transaction were not disclosed.

 Jacobs Engineering Group, Inc. has agreed to acquire a 65% stake in PA Consulting Group, a portfolio company of The Carlyle Group, and a provider of consulting services, technology solutions, and innovation solutions.  The remaining stake in the business will be held by PA Consulting Group employees.  The acquisition values the company at approximately $2.4 billion.

 Jane’s Group UK Limited, a portfolio company of Montagu Private Equity, has agreed to acquire Global Platform & Systems, a subsidiary of the Avascent Group, Ltd., and a provider of defense market analytics and industry intelligence solutions.  Terms of the transaction were not disclosed.

Kratos Defense & Security Solutions, Inc. has acquired 5-D Systems, Inc., a provider of designing, development, integration, testing, modifications, and support to unmanned, manned, and optionally piloted vehicles.  Terms of the transaction were not disclosed.

 NuWave Solutions, LLC, a portfolio company of AE Industrial Partners, has acquired Open Solutions Group, Inc., doing business as BigBear, Inc., and a provider of cloud-based big data analytics solutions to the national security community.  Terms of the transaction were not disclosed.

Ontic Engineering and Manufacturing, Inc., a portfolio company of CVC Capital Partners, has acquired the Aircraft Instruments Product Line from Flightline Electronics Inc., a subsidiary of Ultra Electronics Holdings plc, and a provider of electro-mechanical and digital instruments used on various commercial and military platforms.  Terms of the transaction were not disclosed.

 Salesforce, Inc. has agreed to acquire Acumen Solutions, a provider of cloud consulting services, including customer service, sales acceleration, engagement marketing, on-demand analytics, financial analysis, and digital transformation solutions.  Terms of the transaction were not disclosed.

 A joint venture between SK Group and Plasan has acquired ELVO, a provider of armored infantry vehicles and other armored vehicles for the Greek military.  Terms of the transaction were not disclosed.

 The Timken Company has acquired Aurora Bearing Company, a provider of rod ends and spherical plain bearings for industrial sectors including aerospace and defense.  Terms of the transaction were not disclosed.

TransDigm Group, Inc. has agreed to acquire Cobham Aero Connectivity, a subsidiary of Cobham Ltd., a portfolio company of Advent International Corporation, and a provider of highly engineered antennas and radios for the aerospace end market.  The transaction is valued at $965 million.
