M&A Transactions

Trowbridge & Trowbridge, LLC, a portfolio company of Enlightenment Capital, has acquired IntelliWare Systems, Inc., a provider of cyber, intelligence, and information technology solutions to the Federal Bureau of Investigations, US Marshals Service, Department of Homeland Security, and Department of State. Terms of the transaction were not disclosed. KippsDeSanto acted as exclusive financial advisor to IntelliWare Systems, Inc.

AE Industrial Partners, LLC has acquired American Pacific Corporation, a portfolio company of Huntsman Family Investments, a provider of fine and specialty chemicals serving the aerospace and defense and pharmaceutical industries. Terms of the transaction were not disclosed

AMETEK, Inc. has acquired IntelliPower, a provider of high-reliability, ruggedized uninterruptable power systems serving a wide range of defense and industrial applications. The transaction was valued at $115.0 million.

ARCH Global Precision LLC, a portfolio company of The Jordan Company, has acquired Arundel Machine Tool, LLC, a provider of high-precision components and assemblies primarily for the aerospace and defense market. Terms of the transaction were not disclosed.

Huntington Ingalls Industries, Inc. has agreed to acquire Hydroid Inc., a subsidiary of Kongsberg Gruppen ASA, a provider of advanced marine robotics with specific focus on the design, engineering, production, and support of autonomous underwater vehicles. The transaction was valued at $350.0 million.

Leidos Holdings, Inc. has agreed to acquire L3Harris’ Security Detection and Automation Businesses, a provider of airport and critical infrastructure screening products, automated tray return systems, and other industrial automation products to the aviation, transportation, and government markets. The transaction was valued at $1.0 billion.

PTB Group Ltd has agreed to acquire Prime Turbines, LLC, a subsidiary of VSE Corp., a provider of turboprop engine repair, maintenance, and overhaul services. The transaction was valued at $21.0 million.

QinetiQ Group plc has acquired Newman & Spurr Consultancy Limited (“NSC”), a provider of a range of training and simulation solutions, primarily in land and joint training areas. The transaction was valued at $18.3 million.

Raytheon has acquired the remaining 19.5% equity interest in Forcepoint, a portfolio company of Vista Equity Partners, a provider of software solutions to protect users, data, and network against insider threats and outside attacks in financial services, healthcare, government, and justice and public safety industries. The transaction was valued at $588.0 million.

Science Applications International Corporation has agreed to acquire Unisys Federal, an operating unit of Unisys Corp. Unisys Federal is a provider of infrastructure modernization, cloud migration, managed services, and enterprise IT-as-a-service through scalable and repeatable solutions to US federal civilian agencies and the Department of Defense. The transaction was valued at $1.2 billion.

Summit Park has acquired Elliot Aviation, a provider of maintenance, repair, and overhaul services; fixed based operations services; and aircraft sales and brokerage services to the aviation industry. Terms of the transaction were not disclosed.

Washington Equity Partners has acquired Tube Bending, Inc., a provider of tubing components and assemblies for the aerospace, defense, space, medical, and industrial markets. Terms of the transaction were not disclosed.
