M&A Transactions

Bluestone Investment Partners has invested in Intrepid Solutions and Services, Inc., a provider of enterprise IT, data analysis, and operational training services exclusively to customers in the Intelligence Community. Terms of the transaction were not disclosed.

Cadence Aerospace, a portfolio company of Arlington Capital Partners has acquired B&E Group’s OEM Manufacturing Division, a portfolio company of MPE Partners, a manufacturer of complex and difficult-to-manufacture engine components for the commercial and military aerospace markets, with a focus on precision machining. Terms of the transaction were not disclosed.

CPE Capital Pty. Ltd. Has agreed to acquire Levett Engineering Pty. Ltd., a provider of machining, assembly, and inspection of a range of complex components for clients in the aerospace and defense industry. Terms of the transaction were not disclosed.

Gores Holdings III, Inc. has agreed to acquire Pacific Architects and Engineers Inc., a provider of mission-critical services to the U.S. government, armed forces, and international customers, including the U.S. Department of State, Army, Navy, Air Force, and NASA. The deal is worth an estimated $1.6 billion.

Kaman Corporation has agreed to acquire Bal Seal Engineering, Inc., a designer and manufacturer of custom-engineered sealing, connecting, conducting, and EMI / RFI shielding solutions. The deal is worth an estimated $330 million.

LinQuest Corporation has acquired The Perduco Group, a provider of advanced data analytics, data architecting and model-based simulation to defense and civilian agencies. Terms of the transaction were not disclosed.

Logistics Management Institute, Inc. has acquired Clockwork Solutions, Inc., a developer of predictive analytics software for enterprise asset forecasting for repair parts inventory and maintenance costs of capital intensive assets. Clockwork Solutions serves the aerospace and defense, aviation, trucking, transportation, energy, mining, construction, and manufacturing sectors. Terms of the transaction were not disclosed.

Molecular Products Group, Ltd., a portfolio company of Arlington Capital Partners has acquired O.C. Lugo Company, a manufacturer of sodium chlorate-based chemical oxygen generators; O.C. Lugo is a prime contractor for the United States Navy. Terms of the transaction were not disclosed.

Spirit AeroSystems Holdings, Inc. has agreed to acquire select assets of Bombardier aerostructures and aftermarket services businesses, which are providers of metallic wing components, nacelles, fuselages, and tail assemblies, along with high-value mechanical assemblies made from aluminum, titanium, and steel. The deal is worth an estimated $1.1 billion.
