M&A Transactions

Antarctica Capital, LLC., has acquired Descartes Labs, Inc., a provider of geospatial intelligence and analytics solutions to private sector and U.S. federal government civilian and defense markets. Terms of the transaction were not disclosed.

Command Holdings, a subsidiary of Mashantucket Pequot Tribal Nation, has acquired WWC Global, LLC. a provider of professional services consulting serving private sector and U.S. federal government defense and homeland security markets. Terms of the transaction were not disclosed.

Edge Autonomy, a portfolio company of AE Industrial Partners, has acquired Adaptive Energy LLC, a provider of solid oxide fuel cells (“SOFC”) for backup and portable power in the 250W – 1KW range for private sector and U.S. federal government aerospace and defense markets. Terms of the transaction were not disclosed.

 The Electronic Technologies Group of HEICO Corporation (NYSE: HEI) has acquired Sensor Systems, a provider of airborne antennas for commercial and military applications. Terms of the transaction were not disclosed.

 J.F. Lehman & Co., Apollo Global Management, Inc., and Hill City Capital have agreed to acquire Atlas Air Worldwide Holdings, Inc. (NasdaqGS: AAWW), a provider of scheduled air cargo service, cargo charters, military charters, and ACMI aircraft leasing services for private sector and U.S. federal government aerospace and defense markets. The transaction is valued at $5.2 billion.

 Mirion Technologies, Inc. (NYSE: MIR, MIRW) has acquired the Critical Infrastructure Business of Collins Aerospace Systems, a subsidiary of Raytheon Technologies Corp. (NYSE: RTX) and provider of command-and-control software solutions for nuclear power plants and government facilities to protect their systems against cybersecurity threats or compromises. Terms of the transaction were not disclosed.

Naprotek, LLC, a portfolio company of Edgewater Capital Partners, has acquired MicroFab, Inc., a provider of precision RF circuit fabrication and atomic-level micro machining services. Terms of the transaction were not disclosed.

QinetiQ, Inc., a subsidiary of QinetiQ plc (LSE: QQ.L) has agreed to Avantus Federal, LLC, portfolio company of NewSpring Capital and provider of strategic consulting, operational support, and technology services to federal customers and private sector partners in the homeland security, law enforcement, intelligence, defense, and federal health sectors. The transaction is valued at $590M.

Tailwind Acquisition Corp. (NYSE: TWND), a publicly traded special purpose acquisition company, has agreed to combine with NUBURU, Inc., a provider of high power and high brightness industrial blue lasers. The transaction is valued at $350 million.
