M&A Transactions

FMI Opportunity Funds completes acquisition of 85% stake in Ashot Ashkelon Industries Ltd. (Tel Aviv: ASHO.TA) from Elbit Systems, Ltd. (NasdaqGS: ESLT), a provider of jet engine shafts, gears, transmissions, gearboxes, high lift systems components, landing gear components and tungsten products for the aerospace and defense industries. The transaction is valued at $84 million.

Photonics Management Europe S.R.L., a subsidiary of Hamamatsu Photonics K.K. (OTCMKTS: HPHTF) has agreed to acquire NKT Photonics, a subsidiary of NKT Cables A/S, and provider of high-performance fiber lasers, fiber optic sensing systems, and photonic crystal fibers for private sector and U.S. federal and international government aerospace, defense, medical & life sciences, and nano & quantum technology markets. The transaction is valued at $216.4 million.

Primus Aerospace, a portfolio company of Angeles Equity Partners, LLC, has acquired Raloid Corp., a provider of close-tolerance components and assemblies such as warheads, detailed mechanical components, mechanical assemblies, and ground support assemblies. Terms of the transaction were not disclosed.

Yulista Holdings, LLC has acquired Troy7, Inc., a provider of missile defense and space flight mission support for the Missile Defense Agency, Space and Missile Defense Command, and NASA. Terms of the transaction were not disclosed.

The U.S. Department of Justice (“DOJ”) has announced a lawsuit to block Booz Allen Hamilton’s pending acquisition of EverWatch Corp., a portfolio company of Enlightenment Capital. The DOJ alleges that the proposed acquisition threatens competition by only leaving one company to provide the National Security Agency (NSA) with operational modeling and simulation services.
