M&A Transactions

Airbus Helicopters, a subsidiary of Airbus SE (Paris: AIR.PA; Berlin: AIR.BE; Madrid: AIR.MC), has agreed to acquire ZF Luftfahrttechnik GmbH, a provider of helicopter transmission systems, as well as geared applications for fixed-wing aircraft and engines.  Terms of the transaction were not disclosed.
 
Angeles Equity Partners, LLC has acquired Primus Aerospace, a provider of complex precision components for the aerospace, defense, and space (“AD&S”) sectors.  Terms of the transaction were not disclosed.
 
Astra Space, Inc. has agreed to acquire Apollo Fusion, Inc., a provider of state-of-the-art Hall electric ion thruster propulsion systems for a variety of government and commercial satellite programs.  The transaction is valued at $145.0 million.
 
Genasys, Inc. has acquired Zonehaven, Inc., a provider of planning, training, and resources to first responders, public safety agencies, and communities to manage evacuations and repopulations successfully.  Terms of the transaction were not disclosed.
 
GigCapital4 Inc. has agreed to acquire BigBear.ai, a portfolio company of AE Industrial Partners and a provider of artificial intelligence and machine learning, advanced analytics, data science, and management to U.S. government clients.  The transaction is valued at $1.6 billion.
 
GWS Tool Group, LLC, a portfolio company of L Squared Capital Partners, LLC, has acquired Indexable Cutting Tools of Canada, Inc., a provider of ceramic polycrystalline diamond (“PCD”) and cubic boron nitride (“CBN”) inserts.  Terms of the transaction were not disclosed.
 
JHNA has acquired Technology Security Associates (“TSA”), a provider of cybersecurity, anti-tamper, and platform security services protecting DoD systems and information.  Terms of the transaction were not disclosed.  
 
KKR & Co. L.P. has agreed to acquire Atlantic Aviation FBO Holdings, LLC, a subsidiary of Macquarie Infrastructure Corp. (“MIC”) (NYSE: MIC) and a provider of a full suite of critical services to the private aviation sector.  The transaction is valued at $4.5 billion.
 
Parsons Corporation has agreed to acquire BlackHorse Solutions, Inc., a provider of solutions and products that address next-generation military, intelligence, and space operations.  The transaction is valued at $203.0 million.
 
Spartacus Acquisition Corp. has agreed to acquire NextNav, LLC, a provider of next-generation geolocation solutions.  The transaction is valued at $900.0 million. 
 
System One Holdings, LLC, a portfolio company of Thomas H. Lee Partners, L.P., has acquired Quadel Consulting and Training, LLC, a portfolio company of Bluestone Investment Partners and a provider of outsourced program management, contract administration, disaster recovery, consulting, training, and educational purposes.  Terms of the transaction were not disclosed.
