M&A Transactions

Allied Motions Technologies Inc. (NASDAQ: AMOT) has acquired Alio Industries, Inc., a provider of advanced motion systems for nano-precision applications in government silicon photonics, micro assembly, digital pathology, genome sequencing, laser processing and microelectronics markets. The transaction is valued at $20.0 million.

 BAE Systems plc (LSE: BA.L) has agreed to acquire Bohemia Interactive Simulations s.r.o, a portfolio company of The Riverside Company and provider of simulation technologies and integrated training solutions for military and civilian organizations. Terms of the transaction were not disclosed.

 BlueHalo, LLC, a portfolio company of Arlington Capital Partners, has acquired Citadel Defense Co., a provider of advanced counter-unmanned aerial systems (cUAS) technology for the Department of Defense and Intelligence Community. Terms of the transaction were not disclosed.

Convergint Technologies, LLC, a portfolio company of Ares Management, L.P., has acquired Simpson Security Systems, Inc., a provider of security and special systems solutions. Terms of the transaction were not disclosed.

Duddell Street Acquisition Corp. (NASDAQ: DSAC), a special purpose acquisition company (SPAC), has agreed to combine with FiscalNote Holdings, Inc., a provider of regulatory and legal insights to government agencies and enterprises via artificial intelligence driven Software-as-a-Service. The transaction is valued at $1.3 billion.

Gemspring Capital has acquired AINS, Inc., a provider of case management software and IT services for the government sector. Terms of the transaction were not disclosed.

Pace Industries, LLC has acquired Jackson Die Cast LLC, a subsidiary of Metal Technologies of Indiana LLC and provider of aluminum high pressure die casting to automotive, commercial vehicle, powersports, lighting, lawn and garden, appliance, aerospace, defense, medical, and other markets. Terms of the transaction were not disclosed.

 Teleo Capital Management, LLC, has acquired Flatirons Solutions, Inc., a subsidiary of Presse Participations and provider of information and application management consulting services and solutions to the private and U.S. federal government markets. KippsDeSanto & Co. acted as financial advisor to Flatirons Solutions. Terms of the transaction were not disclosed.

 True Velocity, Inc., a subsidiary of True Velocity Ammunition, LLC, has acquired LoneStar Future Weapons, LLC, a subsidiary of Automatic Products Corp. and provider of next-generation defense solutions, including munitions and firearms. Terms of the transaction were not disclosed.

 Tyto Athene, LLC, a portfolio company of Arlington Capital Partners, has acquired Qbase, LLC, a provider of data management, analytics, and information technology services to the federal government. Terms of the transaction were not disclosed.

Viasat (Nasdaq: VSAT) has agreed to acquire Inmarsat, a portfolio company of Apax Partners, Warburg Pincus, the Canadian Pension Plan Investment Board, and the Ontario Teachers’ Pension Plan Board and provider of satellite-based communications services to shipping, aviation and government departments, including Britain’s Ministry of Defense. The transaction is valued at $7.3 billion.
