M&A Transactions

Communications & Power Industries, LLC, a subsidiary of CPI International, LLC, a portfolio company of Odyssey Investment Partners, LLC, has acquired L3Harris Electronic Space Systems Corp., a subsidiary of L3Harris Technologies, Inc. (NYSE: LHX) and a provider of ground-based radomes, reflectors, radio frequency composite structures, and high-precision antenna systems. Terms of the transaction were not disclosed.

Fastener Distribution Holdings, a portfolio company of Audax Private Equity, has acquired Madison Aerospace, Inc., a provider of high-performance Army-Navy (“AN”), military standard (“MS”), National Aerospace Standard (“NAS”), and Per Print Specials, as well as specialty fasteners and aircraft parts for private and U.S. federal government markets. Terms of the transaction were not disclosed.

Guidehouse Holding Corp., a portfolio company of Veritas Capital, has agreed to acquire Dovel Technologies, a portfolio company of Macquarie Capital and a provider of advanced data analytics, artificial intelligence, and enterprise modernization. Terms of the transaction were not disclosed.

High Street Capital has acquired NeoSystems, LLC, a provider of managed and IT systems integration services to the government contractor market. Terms of the transaction were not disclosed.

Quantic Electronics, a portfolio company of Arcline Investment Management, has acquired ECI Transcon Technologies, a provider of passive magnetic components for a wide range of end markets, including aerospace, automotive, avionics, communications, consumer, industrial controls, marine, medical, military, and power supplies. Terms of the transaction were not disclosed.

Quantic Electronics, a portfolio company of Arcline Investment Management, has acquired Paktron Capacitors, LLC, a portfolio company of Milestone Partners and a provider of polymer film capacitor products, including miniature radial leaded capacitors, lead-frame capacitors, surface mount chip capacitors, and resistor-capacitor network snubbers. Terms of the transaction were not disclosed.

Red Cat Holdings, Inc. (NASDAQ: RCAT), has completed its acquisition of privately held Teal Drones, Inc., a provider of commercial and government unmanned vehicle technology. Terms of the transaction were not disclosed.

Thoma Bravo, LLC has acquired Proofpoint, Inc. (NASDAQ: PFPT), a provider of enterprise security software as a service (“SaaS”) and software solutions. The transaction is valued at approximately $12.3 billion.
