M&A Transactions

ARCH Cutting Tools, LLC, a subsidiary of ARCH Global Precision,LLC, a portfolio company of The Jordan Company, L.P., has acquired CONTOUR360 Corp., a provider of high performance, precision made solid carbide round shank cutting tools for the aerospace, automotive, firearms, medical, power generation, and defense & government markets. Terms of the transaction were not disclosed.

Bluestone Investment Partners has acquired cBEYONData, Inc., a provider of professional services and solutions specializing in business process automation, cloud migrations, and agile project management. Terms of the transaction were not disclosed.

Capgemini SE (ENXTPA: CAP) has agreed to purchase VariQ Corp., a provider of software development, cybersecurity, and cloud services for United States federal government agencies. Terms of the transaction were not disclosed.

Cassavant Machining, LLC (CMI), a portfolio company of Gallant Capital Partners, LLC, has acquired Systems 3, Inc. from Stevens Manufacturing Co., a subsidiary of Essex Industries, Inc., and a provider of flight critical components to the aerospace and defense industries. Terms of the transaction were not disclosed.

Contegix, LLC, has acquired Ascend Integrated Technology Solutions, Inc., a provider of advanced system solutions for Agile, DevOps, and system implantation needs for government and commercial markets. Terms of the transaction were not disclosed.

Document Storage Systems, Inc. (DSS, Inc.), has acquired SBG Technology Solutions, Inc., a provider of IT modernization, cyber security, and Artificial Intelligence (AI) services to government and commercial markets. Terms of the transaction were not disclosed.

Dover Corp., Inc. (NYSE: DOV), has acquired The Espy Corporation, a provider of advanced electronic radio frequency sensor systems used to detect, record, analyze and geolocate signals. Terms of the transaction were not disclosed.

Equitix Investment Management Ltd. has acquired the combined stake of Rolls-Royce (LSE: RR) and Babcock (LSE: BAB) in AirTanker Holdings Ltd., a provider of air-to-air refueling services to Britain’s Royal Air Force. The transaction is valued at approximately $435 million.

Fairbanks Morse Defense, a portfolio company of Arcline Investment Management, has acquired Hunt Valve Company, Inc., a provider of naval valves and electromechanical actuators. Terms of the transaction were not disclosed.

Osprey Technology Acquisition Corp. (NYSE: SFTW), a special purpose acquisition company (SPAC), has completed its combination with BlackSky Holdings, Inc., a provider of real-time geospatial intelligence into a new business entity BlackSky Technology, Inc. (NYSE: BKSY). The transaction is valued at approximately $283 million.

Raytheon Intelligence & Space, a subsidiary of Raytheon Technologies Corporation (NYSE: RTX), has agreed to acquire SEAKR Engineering, Inc., a provider of space qualified state-of-the-art electronics for advanced processors, networked systems, reconfigurable Radio Frequency (RF) and Electro-Optical (EO) payloads, and digital channelizers / beamformers. Terms of the transaction were not disclosed.

Sagewind Capital, LLC, has invested in Federal Advisory Partners, a provider of strategic consulting to government and commercial markets. Terms of the transaction were not disclosed.

UAV Factory USA, a subsidiary of UAV Factory SIA, a portfolio company of AE Industrial Partners, has acquired Jennings Aeronautics, Inc., a provider of small Unmanned Aerial Systems (SUAS) for commercial and U.S. federal government markets. Terms of the transaction were not disclosed.

Vertex Aerospace, a portfolio company of American Industrial Partners, has agreed to acquire Raytheon Technologies’ Defense Training and Mission Critical Solutions Business Lines, providers of training and sustainment services and products to the defense and commercial aerospace industries.  Woolpert, Inc., has acquired Optimal GEO, Inc., a provider of photogrammatic mapping, orthoimagery, lidar, and GIS data to defense and federal intelligence communities. Terms of the transaction were not disclosed.
